01Acceptance of These Terms

These Terms of Use ("Terms") are a binding agreement between you and KWIK INC, an Arizona corporation ("KWIK," "we," "us," or "our"). By accessing or using kwikstations.com (the "Site") you agree to these Terms and our Privacy Policy. If you do not agree, you must stop using the Site.

These Terms apply only to your use of the Site. Your purchase of fuel, merchandise, or other goods and services at our physical locations is governed by the sale itself, applicable consumer protection laws, and, where relevant, the terms of the loyalty program or payment method you use.

02Who Can Use the Site

The Site is intended for a general audience in the United States. You may use the Site if you are able to form a legally binding contract under the law of your jurisdiction. If you are using the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

The Site is not directed to children under the age of 13, and we do not knowingly collect information from children under 13 through the Site.

03About This Site

The Site is an informational website about KWIK, our retail locations, and the brands we partner with. The Site does not sell goods or services online, does not offer customer accounts, and does not process payments. Information on the Site, including store details, hours, fuel offerings, and partner brands, is provided for general informational purposes and may change without notice.

04Permitted Use

You may access and view the Site for personal, noncommercial, informational purposes. You may print or save individual pages for your own reference, provided you do not remove any copyright, trademark, or other notices.

05Things You Agree Not to Do

When using the Site, you agree not to:

• Copy, reproduce, republish, modify, distribute, sell, or exploit any part of the Site or its content except as expressly permitted above
• Use automated tools (crawlers, scrapers, bots) to extract content or data from the Site, except for publicly accepted search-engine indexing
• Attempt to gain unauthorized access to any portion of the Site, related systems, or the networks they run on
• Introduce viruses, malware, or other harmful code, or attempt to disrupt, overload, or impair the Site
• Use the Site to harass, defame, or harm any person, or to transmit unlawful, fraudulent, or infringing material
• Reverse engineer, decompile, or otherwise attempt to derive the source code of the Site
• Use the Site in any way that violates applicable federal, state, or local law
• Use the Site, our name, or our marks to imply a relationship, endorsement, or sponsorship that does not exist

06Intellectual Property

Our content and marks

The Site, including its text, design, layout, photography, graphics, typography, and code, is owned by KWIK or used under license and is protected by United States and international copyright, trademark, and other intellectual property laws. The name KWIK and our logos are trademarks of KWIK INC. Nothing on the Site grants you any license or right to use our marks without our prior written consent.

Third-party brand marks

The Site displays the names and logos of brands we partner with, including but not limited to Chevron, ExtraMile, Sinclair, and 76, as well as consumer goods brands sold at our stores such as Coca-Cola, Pepsi, Dr Pepper, Gatorade, Red Bull, Monster, Celsius, Frito-Lay, Cheez-It, Snickers, Reese's, and Hershey's. These names and logos are the property of their respective owners. KWIK is an authorized retailer of these brands and uses the marks to identify the products and partners available at our locations. No endorsement or sponsorship of KWIK by these brand owners is implied beyond our actual business relationships.

Reporting copyright concerns

If you believe that content on the Site infringes your copyright, please contact us at legal@kwikstations.com with a description of the work, the location of the allegedly infringing material, your contact information, and a good-faith statement that the use is unauthorized. We will respond consistent with our obligations under the Digital Millennium Copyright Act.

07Submissions and Inquiries

This provision is not a substitute for an executed non-disclosure agreement. If you need to share genuinely confidential information with us (for example, in connection with an acquisition, a vendor proposal, or a business partnership), please contact us first so we can put an appropriate agreement in place.

Nothing you submit through the Site, and nothing we communicate by email in response, constitutes a binding offer or agreement unless and until a written, signed agreement is executed by authorized representatives of both parties.

08Store Information, Prices, and Availability

Details about our store locations, hours, services, fuel offerings, products, and partner brands are provided for general informational purposes. Store hours, services, pricing, and product availability are determined at each location and may change at any time without notice. Fuel prices are posted at the pump and vary by location, grade, and market conditions. Nothing on the Site is an offer of any product or service at a particular price, and nothing on the Site creates an obligation to sell or supply any product or service.

09Third-Party Websites and Services

The Site may link to websites and services operated by third parties, including brand owners and their loyalty programs. Those third-party sites have their own terms and privacy policies, and we do not control and are not responsible for them. Following a link off the Site is at your own risk.

10Careers and Employment

Information on the Site about careers or open positions is for general information only and is not an offer of employment. Any offer of employment will be made only through a written offer letter issued by KWIK or its authorized affiliate. Your relationship with us, if any, will be governed by the terms of that offer letter and our employment policies, not by these Terms.

11Disclaimer of Warranties

The Site and all content on it are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, KWIK disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

We do not warrant that information on the Site is complete, accurate, or current. Specifically, we do not warrant the accuracy of store hours, services, fuel offerings, prices, product availability, or partner brand information. You should verify anything on the Site that you intend to rely on by contacting the relevant store or brand directly.

12Limitation of Liability

To the fullest extent permitted by applicable law, KWIK, its parents, subsidiaries, affiliates, and its and their officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

In no event will our aggregate liability arising out of or relating to these Terms or your use of the Site exceed one hundred US dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13Indemnification

You agree to defend, indemnify, and hold harmless KWIK and its parents, subsidiaries, affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use or misuse of the Site, (b) your breach of these Terms, or (c) your violation of any law or the rights of a third party.

14Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to your use of the Site are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. You and KWIK agree that any lawsuit or legal proceeding arising out of or relating to these Terms or your use of the Site must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction and venue of those courts.

15Dispute Resolution

Before filing any lawsuit, you agree to first contact us at legal@kwikstations.com with a description of your concern and to work with us in good faith for at least sixty (60) days to resolve the matter informally. This requirement does not apply to claims seeking injunctive or equitable relief for violations of intellectual property rights.

Any claim you may have arising out of or relating to these Terms or your use of the Site must be brought within one (1) year after the cause of action arises, or it is permanently barred.

16Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Upon termination, the provisions of these Terms that by their nature should survive will survive, including intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law.

17Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version at this URL and update the "Last updated" date above. Your continued use of the Site after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your only remedy is to stop using the Site.

18Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and KWIK regarding your use of the Site, and they supersede any prior agreements on that subject. If any provision is held to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms; we may assign them to any affiliate or successor without notice to you. The section headings in these Terms are for convenience only and do not affect interpretation.
